Clients agree to pay the fees outlined in their respective service agreements. Payment terms, including due dates and accepted payment methods, will be specified in the agreement. All payments must be made in U.S. dollars unless otherwise agreed.Late payments may be subject to additional fees, including interest at the maximum rate permitted by law. Brightli reserves the right to suspend or terminate services in the event of non-payment.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of their engagement. Confidential information includes, but is not limited to, business plans, strategies, client lists, and technical data.Confidentiality obligations will remain in effect even after the termination of the service agreement.
Brightli retains all rights, title, and interest in its proprietary systems, processes, and technologies. Clients are granted a limited, non-exclusive license to use the deliverables provided as part of our services for their internal business purposes.Clients may not copy, distribute, modify, or create derivative works based on Brightli's intellectual property without prior written consent.
Brightli is committed to protecting the privacy of client data. We collect, use, and store data in accordance with our Privacy Policy. By using our services, you consent to our data practices as described in the Privacy Policy.
Brightli's services are provided on an "as-is" and "as-available" basis. While we strive to deliver high-quality solutions, we do not guarantee that our services will be error-free, uninterrupted, or meet all client expectations.To the maximum extent permitted by law, Brightli disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Brightli be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to the use of our services.Brightli's total liability for any claims arising from or related to our services shall not exceed the amount paid by the client for the services in question.
Clients agree to indemnify, defend, and hold harmless Brightli and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising out of or related to:
Client's use of Brightli's services.Violation of these Terms.Infringement of any third-party rights.
Brightli reserves the right to terminate or suspend services at any time, with or without cause, and with or without notice. Clients may also terminate their engagement with Brightli by providing written notice as outlined in their service agreement.Upon termination, all outstanding fees must be paid, and any licenses granted under these Terms will be revoked.
These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved through binding arbitration in [Insert City], in accordance with the rules of the American Arbitration Association.
